ULTIMATE TACO NIGHT GIVEAWAY: OFFICIAL RULES

1) SWEEPSTAKES PERIOD: The Gorton’s Seafood Ultimate Taco Night Giveaway (the “Sweepstakes”) starts on April 6, 2026 at 10:00:00 AM Eastern Time (“ET”) and ends on May 5, 2026 at 11:59:59 PM ET (the “Sweepstakes Period“). Instagram and TikTok runs the official clock for the Sweepstakes and will solely determine the time by which an entry is received.

2) ELIGIBILITY: No purchase necessary to enter or win. The Sweepstakes is open only to legal residents of the 50 United States or the District of Columbia, who are at least 18 years of age or older at the time of entry, have an Instagram or TikTok account, and follow the instructions herein to enter (the “Entrant“). The officers, directors and employees of Gorton’s Inc. (the “Sponsor”), Shay Spence, Connelly Partners, Marden-Kane, Inc. (the “Administrator”), prize providers, their subsidiaries and affiliated companies, advertising, promotional agencies, persons engaged in the development, production or distribution of materials for this promotion (collectively, the “Promotion Parties”) and the immediate family members (parent, child, sibling, and spouse of each) of and/or persons living in the same household as such individuals (whether related or not) are not eligible to participate. This Sweepstakes is void within Puerto Rico, all U.S. territories and possessions and where prohibited by law. 

3) HOW TO ENTER: To enter the Sweepstakes, you must submit your entry to Instagram or TikTok as further described below. You must be a registered user of www.Instagram.com or (“Instagram”) www.tiktok.com (“TikTok”) and your account must be set to public and viewable by Sponsor. If you do not have an account, you can download the Instagram or TikTok App (each an “App”) at either Google Play or the App Store and follow the instructions to create an account. There is no fee or charge to become a registered user of either Instagram or TikTok. By submitting your information and creating an account, you agree to the respective terms of use and privacy notice. If you do not agree to such terms of use and privacy notice, you cannot create a respective account, or participate in the Sweepstakes.

To Enter via Instagram: 

    1. Go to www.instagram.com and log into your Instagram account;
    2. You must follow @gortonsseafood and @theshayspence;

To Enter via TikTok: 

    1. Open the TikTok App on your mobile device;
    2. You must follow @gortonsseafood and @theshayspence;

All entry information and comments (including the required hashtag as noted above) shall be collectively referred to herein as the entry (the “Entry”). Regardless of method of entry, there is a limit of one (1) Entry per person throughout the Sweepstakes Period. Your Entry must comply with Instagram’s Terms of Use available at https://instagram.com/legal/terms/# or TikTok’s Community Guidelines available at https://www.tiktok.com/community-guidelines/en/, whichever is applicable.

By participating in the Sweepstakes, Entrants agree to be bound by these Official Rules. Entrants irrevocably grant to Sponsor, its third party affiliates, agents and licensees, the royalty-free right and permission to unconditionally reproduce, store, transmit, publish, display, use or reuse your name, photo, and prize information, as well as any other information or materials arising out of your participation in the Sweepstakes for advertising, promotional, commercial, publicity and/or any other purposes (without limitation), in any and all media now or hereafter known, in any language, throughout the world, where legally permissible, and in any manner without further review, notice, approval, consideration or compensation of Entrant unless prohibited by law. By participating, Entrants further release Sponsor from any and all liability with respect to any future claims arising out of any use or disclosure of Entrants participation consistent with these Official Rules. By participating, Entrants acknowledge and agree that Entrants will not now or in the future be paid or compensated in any way for participation or for granting the Sponsor any of the rights set out in these Official Rules, whether chosen as a winner or not. Entrants further agree that Sponsor is not obligated to make use of any of the rights granted in these Official Rules. 

Usage of Instagram and TikTok may require a mobile device and therefore you may be charged for standard data rates according to the terms and conditions in your agreement with your wireless carrier. You agree to incur any and all charges assessed and demanded by your wireless carrier. You should also check your device’s features for capabilities and check the device manual for specific use instructions.

The person submitting the Entry must be the authorized account holder of the Instagram or TikTok account, otherwise the Entry may be deemed void by Sponsor, in its sole discretion. In the event of a dispute over the identity of a potential winner, Sponsor will consider the Entry and then will determine and declare the authorized account holder OR owner of the Instagram or TikTok account used for entry. Potential winner may be required to provide identification sufficient to show that he/she is the authorized account holder of such Instagram or TikTok account. The “authorized account holder” is the natural person assigned to the applicable Instagram or TikTok account. Proof of submission of an Entry does not constitute proof of delivery of Entry. Multiple accounts may not be used, and anyone found to use multiple accounts to enter will be deemed ineligible and any entries will be deemed void and disqualified by Sponsor.

By submitting your Entry, you agree that (1) your Entry conforms to any and all terms of use/ platform guidelines, policies and content restrictions of Instagram or TikTok; (2) conforms to the Guidelines and Content Restrictions below; and (3) Sponsor and/or Administrator, in their sole discretion, and without notice, may disqualify you from the Promotion if they determine that your Entry fails to conform to these Official Rules including without limitation the Guidelines and Content Restrictions below.

Guidelines and Content Restrictions

If the Sponsor determines that the content of the Entry does not comply with the Guidelines and Content Restrictions, the Entry will not be eligible for any prize consideration and may be withdrawn without notice from the Sweepstakes at any time at the sole discretion of the Sponsor and/or Administrator.

By submitting an entry, Entrant agrees to comply with the Sweepstakes Official Rules. Entries that do not comply with these Official Rules, as determined in Sponsor and/or Administrator’s sole discretion, will be disqualified from the Sweepstakes. Decisions of the Sponsor and/or Administrator are final and binding.

4) RANDOM DRAWING: A random drawing will be held on or about May 6, 2026 from among all eligible Entries received in the Sweepstakes. The drawing will be conducted by the Administrator, an independent judging organization, whose decisions are final and binding on all matters relating to this Sweepstakes. Potential winner is subject to eligibility verification and compliance with these Official Rules. Odds of winning depend on the total number of eligible Entries received.

5) PRIZE AND APPROXIMATE RETAIL VALUE (“ARV”): One (1) Grand Prize: A prize pack comprised of: two (2) packages of Gorton’s Cilantro Lime Taco Tenders; two (2) packages of Gorton’s Taco Seasoned Taco Tenders; a variety of Cholua hot sauces; and a variety of Xochitl chips. Total ARV of Grand Prize to be awarded in the Sweepstakes: $100. All federal, state, and other tax liabilities arising from this Sweepstakes are the sole responsibility of the prize winner. 

6) PRIZE RESTRICTIONS: No substitutions, cash equivalents, or transfer of prize permitted except at the sole discretion of the Sponsor, who reserves the right to substitute a prize (or portion thereof) with one of comparable or greater value. Prize may not be sold, bartered, or exchanged by winner. Prize consists of only those items specifically listed as part of the prize. The Promotion Parties are not responsible for damage or loss of a prize after it has been delivered to a confirmed winner. Sponsor makes no warranties, and hereby disclaims any and all warranties, expressed or implied, concerning any prize furnished by third parties in connection with the Sweepstakes. All details of the prize not specified herein shall be determined solely by Sponsor.

7) WINNER NOTIFICATION AND PRIZE FULFILLMENT: The potential winner will be notified by the Sponsor via direct message from @gortonsseafood to the potential winner’s Instagram or TikTok account to request contact information. The required response to such direct message (e.g., full name, mailing address, email address, etc.) must be received within two (2) business days from the time initial direct message was sent or such potential winner will be disqualified, and an alternate potential winner will be selected. Sponsor assumes no responsibility for undeliverable direct message resulting from any form of active or passive filtering by Instagram or TikTok or for insufficient space in user’s account to receive direct messages. Return of any direct message as undeliverable will result in disqualification of potential winner and an alternate potential winner will be selected. 

The potential winner may then be required to sign and return to Administrator the following documents (collectively, the “Documents”): [1] an Affidavit of Eligibility/Liability Release including (where lawful) a publicity release and [2] IRS Form W-9 to include winner’s social security number that will be used only for the purpose of reporting the winner’s prize earnings to the Internal Revenue Service (as required for prize awarded over $2,000 in value) for receipt by Administrator by the due date indicated in the notification correspondence. If any required documents are not returned within the number of days specified in the notification correspondence, or if any notification is returned as undeliverable, then the prize may be forfeited and an alternate potential winner may be selected at the Sponsor’s sole discretion, time permitting. Prize will be fulfilled by the Sponsor within 4 to 6 weeks after notification, verification, and confirmation.

8) GENERAL CONDITIONS: By entering, entrants agree to release and hold harmless Sponsor, Instagram, TikTok, and each of their affiliates, licensees, parents, franchisees, subsidiaries, prize suppliers, advertising and promotion agencies, including the Administrator, and each of their respective employees, officers, directors, shareholders, agents, successors and assigns (collectively, the “Releasees“) from any and all liability or any injuries, losses or damage of any kind which may arise from or in connection with this Sweepstakes or the acceptance and/or use of any prize. By entering into this Promotion and/or receiving a prize, Entrants and prize winner agree to be bound by these Official Rules and waive any rights to claim ambiguity in the Promotion or these Official Rules. These Official Rules are accessible at https://bit.ly/UltimateTacoNightGiveaway throughout the Promotion Period. Failure to comply with these Official Rules will result in disqualification. If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes or any element thereof including the right to modify these Official Rules. The use of any automated launching or entry software or any other mechanical or electronic means that permits the participant to automatically enter repeatedly is prohibited. Any entries found or suspected to be submitted in this manner will be deemed ‘void’ by the Administrator/Sponsor. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE; THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. 

9) SWEEPSTAKES ERRORS: Sponsor and its parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, errors and/or ambiguity: (a) in the Sweepstakes; (b) in any related advertising or promotion of this Sweepstakes; and/or (c) in these Official Rules. In the event of any ambiguity(s) or error(s) in these Official Rules, Administrator reserves the right to modify these Official Rules for clarification purposes or to correct any such ambiguity or error(s) without materially affecting the terms and conditions of the Sweepstakes.

10) BINDING ARBITRATION: Sweepstakes entrants, Sponsor, Administrator and any prize suppliers waive all rights to trial in any action or proceeding instituted in connection with these Official Rules and/or this Sweepstakes. Any controversy or claim arising out of or relating to these Official Rules and/or this Sweepstakes shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the Commonwealth of Massachusetts and judgment on the arbitration award may be entered into any court having jurisdiction thereof.

11) PRIVACY: By entering the Sweepstakes, you grant the Releasees permission to use your personal information in accordance with Sponsor’s privacy policy located at https://www.gortons.com/privacy-policy/. By participating in the Sweepstakes, Entrants hereby acknowledge that they have read and accepted Sponsor’s privacy policy. Information collected from Entrants (such as name, postal address and email address) will not be re-used, sold or shared in any manner by the Sponsor or any third parties.

12) GOVERNING LAW AND JURISDICTION: This Sweepstakes is governed by United States law and is subject to all applicable federal, state and local laws and regulations. Void where prohibited. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrants, Administrator and Sponsor in connection with this Sweepstakes, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Massachusetts, U.S.A., without giving effect to the conflict of laws rules thereof, and any matters or proceedings which are not subject to arbitration as set forth in Section 10 above of these Official Rules and/or for entering any judgment on an arbitration award, shall take place in the Commonwealth of Massachusetts.

13) WINNER LIST: For the name of Prize Winner, available after June 1, 2026, send an email with subject line, “Gorton’s Ultimate Taco Night Giveaway” to: winnerslist@mardenkane.com. Deadline for requests is may 31, 2026.

14) SPONSOR/ADMINISTRATOR: The Sponsor of this sweepstakes is Gorton’s Inc., 128 Rogers St., Gloucester, MA 01930. The Administrator is Marden-Kane, Inc., 575 Underhill Blvd., Suite 222, Syosset, NY 11791. 

This Sweepstakes is in no way sponsored, endorsed, administered or associated with Instagram, TikTok, Shay Spence, Spicy Liquid, LLC and Xochitl Inc.
